1. Introduction

Welcome to Fudiepay. By accessing our website and using our payment gateway services ("Services"), you agree to comply with and be bound by the following Terms of Service ("Terms"). Please review these Terms carefully. If you do not agree to these Terms, you should not use our Services.

The term "Fudiepay" or "us" or "we" refers to the owner of the website and service provider. The term "you" refers to the user or viewer of our website and services.

2. Services Description

Fudiepay provides a technical platform (Gateway) that integrates with third-party payment processors, specifically including but not limited to Alipay and WeChat Pay, to facilitate cross-border payments for merchants. Fudiepay is not a bank and does not offer banking services. We act as a technical facilitator to transmit transaction data.

3. Merchant Account & Compliance

• Registration: To use our Services, you must register for an account and provide accurate, complete, and current information as prompted by the registration form.
• KYC/AML: You agree to provide all necessary information for Know Your Customer (KYC) and Anti-Money Laundering (AML) compliance as required by applicable laws and our banking partners.
• Prohibited Businesses: You may not use Fudiepay for any illegal activities, including but not limited to: gambling, counterfeit goods, adult content, or money laundering. We reserve the right to terminate accounts suspected of such activities immediately.

4. Fees and Settlements

Fees for using Fudiepay are set forth in your specific Merchant Agreement. All fees are deducted from the transaction amount prior to settlement unless otherwise agreed. Settlements are made to the bank account on file in the currency agreed upon (e.g., USD, EUR, GBP) subject to the standard settlement cycle (e.g., T+1, T+2).

5. Limitation of Liability

In no event shall Fudiepay, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Fudiepay is registered, without regard to its conflict of law provisions.
